3. Property Management Services

3.1 Service Description

Optivex provides property management services in Singapore, including tenant sourcing, rent collection, maintenance coordination, and dispute resolution. The specific services provided to you will be outlined in a separate service agreement.

3.2 Service Limitations

While we strive to provide high-quality services, we cannot guarantee:

• That suitable tenants will be found within any specific timeframe;
• That tenants will fulfill all of their obligations under their lease agreements;
• That properties will remain occupied at all times; or
• Any specific financial return from rental properties.

3.3 Client Responsibilities

As a client of our property management services, you agree to:

• Provide accurate and complete information about your property;
• Respond promptly to requests for authorization of repairs or other actions requiring your approval;
• Maintain adequate insurance coverage for your property;
• Comply with all applicable laws and regulations related to property rental and ownership;
• Pay all fees and charges as outlined in your service agreement.

4. Fees and Payment

4.1 Fee Structure

The fees for our Services are set forth in your service agreement with us. We reserve the right to modify our fees upon notice to you.

4.2 Payment Terms

Payment for our Services is due as specified in your service agreement. Late payments may incur additional fees. You authorize us to charge the payment method you provide to us for all applicable fees.

4.3 Taxes

All fees are exclusive of applicable taxes (like GST), which will be charged in addition to the fees.

5. Content and Intellectual Property

5.1 User Content

You retain ownership of any content you submit to our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for the purpose of providing and promoting our Services.

5.2 Optivex Content

All content provided by Optivex, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Optivex or its content suppliers and is protected by Singapore and international copyright, trademark, and other intellectual property laws.

5.3 Feedback

If you provide us with suggestions, comments, or other feedback about our Services ("Feedback"), you grant us the right to use the Feedback without any restriction or obligation to you.

6. Termination and Suspension

We may terminate or suspend your access to all or part of our Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

You may terminate your service agreement with us according to the termination provisions in that agreement.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Disclaimers and Limitations of Liability

7.1 Disclaimers

Our Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

7.2 Limitation of Liability

• Your access to or use of or inability to access or use the Services;
• Any conduct or content of any third party on the Services;
• Any content obtained from the Services; and
• Unauthorized access, use, or alteration of your transmissions or content.

In any case, our total liability to you for all claims arising from or related to the Services shall not exceed the amount paid by you to us for the Services during the 12 months prior to the event giving rise to the liability.
